These Terms govern your use of this website. The Practice Assessment is governed by the Practice Assessment Terms and Conditions presented and agreed to at checkout. Certain other services (including the 1-on-1 Workshop and Acceleration Program) are provided under a separate written Consulting Services Agreement and Statement of Work signed by both parties. If there is any conflict between these Terms and the Practice Assessment Terms and Conditions, the Practice Assessment Terms and Conditions will control. If there is any conflict between these Terms and a separate written Consulting Services Agreement, Statement of Work, or other written agreement, then with respect to the services covered by such agreement, the signed agreement will control.
(a) Governing Law. These Terms, and any dispute or claim arising out of or relating to these Terms, the website, or our services (whether in contract, tort, statute, or otherwise), are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
(b) Informal Resolution First. Before filing suit, the party raising a dispute will send a written Notice of Dispute to the other party (to Elevate Endo at info@elevateendo.co) and the parties will negotiate in good faith for at least thirty (30) days.
(c) Exclusive Jurisdiction and Venue. The parties irrevocably agree that any suit, action, or proceeding arising out of or relating to these Terms, the website, or our services shall be brought exclusively in the state courts located in Mecklenburg County, North Carolina and, if federal jurisdiction exists, the federal courts located in the Western District of North Carolina. Each party irrevocably consents to the personal jurisdiction of those courts and waives any objection based on lack of personal jurisdiction, improper venue, or forum non conveniens.
(d) Jury-Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
(e) Class Action Waiver. To the fullest extent permitted by law, each party may bring claims against the other only on an individual basis and not as a plaintiff or class member in any class, collective, consolidated, or representative action.
(f) Equitable Relief. Nothing in this Section limits either party's right to seek injunctive or other equitable relief in the courts identified in subsection (c) to protect its intellectual property rights or confidentiality obligations.
